The Appalachia Energy Law Conference f/k/a the Law of Shale Plays Conference is held in Pittsburgh, Pennsylvania. The conference focuses on legal issues related to onshore energy production, primarily oil and gas production in Appalachia. The conference brings together clients, attorneys, professional landmen, and other professionals to learn and discuss important cases, concepts, and trends. In addition, the conference features networking opportunities with other attendees.

Carbon capture and sequestration projects continue to gain traction nationwide as a viable method to reduce carbon emissions, through the collection and injection of carbon dioxide and other waste gases into subsurface disposal formations. This presentation will provide attendees with an overview of the various areas of law that companies and practitioners should be familiar with in connection with a carbon capture and sequestration project, and a discussion of the drafting considerations involved in typical carbon capture and sequestration project documents, such as pore space/sequestration leases, surface use agreements, emitter agreements and mineral estate easements.

Even as the exploration and production in this region matured significantly over the past 20 years, new challenges are a regular occurrence and in-house counsel are often the frontline of confronting problems and capitalizing on opportunities. This moderated panel discussion will explore what has changed (or stayed the same) for in-house counsel and their daily practices, how outside counsel can best partner with them, and what they may see on the horizon for energy law in Appalachia.

2:30 – 3:15 p.m. Significant SEC Rule-Making Affecting Energy Companies and Their Climate-Related Disclosures and Business Strategies
This program will review proposed rules issued by the Securities and Exchange Commission (SEC) that will have significant potential liability and disclosure implications for public and private companies, particularly in the energy industry. In 2022, the SEC has issued proposed rules calling for increased disclosure regarding climate-related impacts on public companies, including disclosures regarding climate-related goals, business strategies, risks, management and board of directors’ expertise, and the financial impacts of climate-related matters on their businesses and also rules applicable to investment funds that purport to include environmental, social and governance (ESG) criteria as part of their investment strategies in selecting portfolio securities. These significant rules, if adopted, will have tremendous impacts, including cost, on how companies manage their businesses and set their strategic priorities going forward.

4:15 – 5:15 p.m. Ethical Considerations for Lawyers Advising Clients in a World Increasingly Concerned with Corporate Social Responsibility
The traditional view is that the purpose of the corporation is to maximize profit for shareholders. But increasingly, shareholders, employees, and other stakeholders are looking to corporations to lead with regard to other issues, including ESG issues relating to climate change, human rights, and other social justice matters. Although the SEC is contemplating certain disclosure requirements, lawyers have special responsibilities in advising corporate clients in navigating other social and political dynamics. Indeed, ESG-related lawsuits are becoming more common. This program will consider the role of the lawyer and professional responsibility in addressing CSR and ESG when counseling and advising corporate clients.
